Terms of Service

These Terms govern the use of the Redigo Carbon platform and services provided electronically by REDIGO CARBON sp. z o.o. The binding version is the Polish text.

1. General provisions

These Terms govern the use of the Redigo Carbon Platform and the electronic provision of services by REDIGO CARBON sp. z o.o. to its Customers.

2. Definitions

  • Platform — the Redigo Carbon system.
  • Services — including carbon footprint calculation, sustainability reporting, Sustainable Finance, Green Loans, Sustainability-Linked Loans and decarbonisation.
  • Offer — individual commercial offer.
  • Account — the Customer's account on the Platform.
  • Customer — the entity using the Services.

3. Conclusion of the Agreement

The Agreement is concluded upon the first of the following events: acceptance of these Terms, acceptance of the Offer, activation of the Account, or commencement of use of the Platform.

Acceptance of these Terms and activation of the Account constitute an agreement for the provision of services by electronic means. A separate signed contract is not required unless the Parties agree otherwise.

After activation, Redigo Carbon sends an email confirming Account activation and conclusion of the Agreement.

4. Commercial terms

The scope and pricing of the Services are defined in the Offer. Redigo Carbon issues VAT invoices. Payment is made by bank transfer to the account indicated on the invoice, on the terms set out in the Offer or the invoice.

5. Account and access

The Customer is responsible for the security of credentials and for the actions of users accessing the Account. We recommend enabling two-factor authentication.

6. Use of the Platform

The Customer shall use the Platform in accordance with its intended purpose, applicable law and these Terms, and warrants the accuracy of data submitted.

7. Intellectual property

All rights to the Platform remain with Redigo Carbon. The Customer is granted a non-exclusive, non-transferable licence to use the Platform for the term of the Agreement.

8. Confidentiality

The Parties undertake to keep confidential any information obtained in connection with the cooperation, including after termination of the Agreement.

9. Personal data

Personal data processing rules are set out in our Privacy Policy.

10. Liability

Redigo Carbon provides the Services with due care. Each Party's liability is limited to the extent permitted by applicable law and as further set out in the Offer.

11. Termination

Either Party may terminate the Agreement on the terms set out in the Offer or these Terms. Redigo Carbon may suspend the Services in the event of a material breach by the Customer.

12. Governing law and disputes

The Agreement is governed by Polish law. Any disputes shall be resolved by the court competent for the registered office of Redigo Carbon in Warsaw, unless mandatory provisions of law provide otherwise.

13. Final provisions

Redigo Carbon may update these Terms. The version of the Terms in force at the date of conclusion of the Agreement applies, unless the Parties agree otherwise or the law requires application of changes.
